This Bill of Sale (the "Bill of Sale") is made on the effective date [Date] (the "Effective Date"),

By and Between

NOW, THEREFORE, in consideration of the mutual covenants and commitments contained herein, as well as other goods and valuable consideration, the Parties do hereby agree as follows:

Terms and Conditions

1. Product Description

The Seller hereby certifies that it is the legal owner of the Product and has the full authority to sell it to the Buyer. The description of the Product is as follows:

2. Purchase Price 

The Buyer agrees to pay a total amount of $[0.00] to the Seller for the purchase of the Product (the "Purchase Price"). Upon signing the Bill of Sale, the Buyer shall make an advance payment of $[0.00]. This advance payment is non-refundable. The remaining amount of $[0.00] shall be made on or before [Due Date]. The mode of payment shall be [Cash/cheque/bank transfer] or any other mode as agreed by the Parties.

Upon receiving the full payment from the Buyer, the Seller agrees to grant, sell, and transfer the full ownership of the Product to the Buyer.

4. Warranties

The Seller warrants that all the information and matters with respect to the Product are made to the Buyer in accordance with the applicable laws and regulations prevailing at the time of this Bill of Sale;
The Seller warrants that the Product is free from all liens, encumbrances, liabilities, and taxes to the best of its knowledge;
The Seller further warrants that it is the legal owner of the Product and has full authority to deliver the ownership and title of the Product to the Buyer;

5. Disclaimer of Warranties

The Buyer and the Seller acknowledge that the Product is "as is" without warranty of any kind provided by the Seller, including but not limited to, any implied warranties of merchantability or fitness for a particular purpose.
The Seller expressly disclaims any warranty to the condition or working order of the Product.

The Buyer accepts that it is relying solely on its inspection to determine the quality or the condition of the Product.

6. Inspection

The Buyer accepts the Product in its existing condition given that it has inspected the Product at the time of purchase thoroughly.

7. Delivery

The Seller shall deliver the Product on [Delivery Date]. If the delivery is delayed, it is the Seller’s responsibility to ensure that the Product is delivered in the same condition as inspected by the Buyer. 
All transportation charges shall be prepaid and the Buyer shall reimburse the Seller with all such charges upon receipt of an invoice.
Upon the delivery of the Product, the Seller shall convey the title and ownership of the Product to the Buyer. The Seller shall also provide the Buyer with all the necessary documents related to the Product.

8. Limitation of Liability

Neither Party shall be liable to the other for indirect, special, or consequential damages arising out of this Contract hereunder, including but not limited to loss of profit, revenue, or equipment.

9. Indemnification

Both parties agree to indemnify, defend, and hold the other party harmless from and against any claims, damages, losses, and expenses (including reasonable attorney’s fees) arising out of or in any connection with this Contract due to the performance or non-performance of an act by the indemnifying party. 

10. Governing Law

This Bill of Sale shall be governed by and construed in accordance with the laws of [State].
